Governance: the board, advisors and stakes

Directors vote on owner-reserved requests and hires. Advisors comment. Shareholders hold a stake, which gives no vote. The stake register records every grant, vest, transfer and cancel.

Offices and roles

An office is a seat on Governance. It is separate from the member role. The owner role stays the top role for work. The person who made the organization is the first director and the chair. Until a director seat exists, the owners act as the board.

Who decides what

  • A director decides owner-reserved questions and votes on board requests.
  • The chair gets owner-reserved questions first. Only the chair moves the chair.
  • An advisor reads and comments on approvals and questions. An advisor never decides.
  • A shareholder holds a stake. A stake gives money and reports, not a vote.

The board quorum

Set governance.boardQuorum on Settings. With 2, two different directors must approve each owner-reserved request and each hire. One vote leaves the request open. A second vote from the same director counts one time. The person who asks never votes. Only an owner or a director changes this setting.

The stake register

Owners and directors record a grant, a vest, a transfer or a cancel. A person, an AI employee or an outside organization can hold a stake. Equity and options together stay at or below 100%. A transfer moves vested shares only. Other people see their own holdings and the totals.
